This REGISTRATION RIGHTS AGREEMENT dated April 27, 2011 (this “Agreement”) is entered into by and among SESI, L.L.C., a Delaware limited liability company (the “Company”), and wholly owned subsidiary of Superior Energy Services, Inc., a Delaware corporation (the “Parent”), the Parent, the guarantors listed in Schedule 1 hereto (together with the Parent, the “Initial Guarantors”) and J.P. Morgan Securities LLC (“J.P. Morgan”) as the representative of the several initial purchasers named in Schedule I to the Purchase Agreement (as defined below) (the “Initial Purchasers”).
