THIS INVESTMENT ADVISORY AGREEMENT (the “Agreement”) is made this 3rd day of May, 2011, between JANUS INVESTMENT FUND, a Massachusetts business trust (the “Trust”), and JANUS CAPITAL MANAGEMENT LLC, a Delaware limited liability company (“JCM”).

Attached is revised Appendix A to the Amended and Restated Transfer Agency Agreement dated June 18, 2002, as may be further amended from time to time (the “Agreement”), between Janus Investment Fund (the “Trust”) and Janus Services LLC (“Janus Services”). The purpose of the revision is to reflect the addition of Janus Protected Series — Growth effective as of May 3, 2011. Pursuant to Section 9 of the Agreement, the Trust hereby requests that Janus Services acknowledge its acceptance of the terms contained in the revised Appendix.

This letter is to notify you that Janus Investment Fund (the “Trust”) will change the name of Janus Protected Growth Fund to Janus Protected Series — Growth (the “Fund”), effective immediately. The Trust requests confirmation that all references to “Janus Protected Growth Fund” in the Amended and Restated Custodian Contract dated August 1, 2005, as amended, between the Trust and State Street Bank and Trust Company (“State Street”) (the “Custodian Contract”), shall be replaced with “Janus Protected Series — Growth,” and that State Street will continue to act as custodian for the Fund under the terms of the Custodian Contract.
