This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of April 29, 2011, is entered into by and among Local.com Corporation, a Delaware corporation (“Purchaser”), Krillion, Inc., a Delaware corporation (the “Company”), all of the stockholders of the Company, each of whom are listed on Schedule 1-A hereto (the “Company Stockholders”), and Hummer Winblad Venture Partners V, L.P., as stockholders’ agent (the “Stockholders’ Agent”). Capitalized terms used in this Agreement are defined on Exhibit A.
