THIS FIRST SUPPLEMENTAL INDENTURE (this “First Supplemental Indenture”), entered into as of May 4, 2011 (the “Additional Securities Issue Date”), among K. Hovnanian Enterprises, Inc., a California corporation (the “Issuer”), Hovnanian Enterprises, Inc.
