This employment agreement (the “Agreement”) is entered into by and between David W. Brown (“you” or “your”) and LifeVantage Corporation, a Colorado corporation, (the “Company”). This Agreement has an effective date of April 1, 2011 (the “Effective Date”) and this Agreement shall terminate no later than June 30, 2014 (the date of termination of this Agreement is the “Expiration Date”). This Agreement entirely replaces and supersedes the chief executive officer employment agreement between you and the Company that was entered into on January 10, 2008 (the “Former Agreement”).
