This Consulting Agreement (this “Agreement”), dated June 15, 2011, by and among Southern Union Company, a Delaware corporation (the “Company”), Energy Transfer Equity, L.P. (“Parent”), and George L. Lindemann (“Consultant”), shall be effective as of the Effective Date (as hereinafter defined).

THIS FOURTH AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF ENERGY TRANSFER EQUITY, L.P. dated as of [•], 2011, is entered into by and among LE GP, LLC, a Delaware limited liability company, as the General Partner, together with any other Persons who become Partners in the Partnership or parties hereto as provided herein.
