This agreement (the “Agreement”) is dated as of June 27, 2011 among First BanCorp (the “Company”), a Puerto Rico chartered financial holding company, and each of the investors that have signed this Agreement (each an “Investor” and together, the “Investors”), relating to the sale by the Company to each of the Investors of a number of shares of common stock of the Company (“Common Stock”), par value $0.10 per share, as set forth below such Investor’s name on its signature page to this Agreement. Now, therefore, in consideration of the premises, and of the representations, warranties, covenants and agreements set forth herein, and intending to be legally bound, the parties hereby agree as follows:
