These Terms and Conditions of Employment and Separation (the “Agreement”) are entered into this 3rd day of May, 2011 by and between COMMERCIAL METALS COMPANY, a Delaware corporation (the “Employer” or the “Company”) and Babarba R. Smith (the “Executive”). The Employer and Executive are collectively referred to as the “Parties,” and individually as a “Party.”
