THIS AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF AVIV HEALTHCARE MERGER SUB LP, a Delaware limited partnership (the “Partnership”), dated as of September 17, 2010, is entered into by and among Aviv REIT, Inc., a Maryland corporation (“Aviv REIT”), as the general partner, and the Persons whose names are set forth on Exhibit A attached hereto, as the limited partners, together with any other Persons who become Partners in the Partnership as provided herein. Capitalized terms used herein are defined in Article 1 unless otherwise provided.
