Pursuant to this Restricted Stock Unit Agreement dated [_____] (including Appendix A hereto, the “Agreement”), Rentech, Inc. (the “Company”) hereby grants [_____] (the “Executive”), the following award of Restricted Stock Units (“RSUs”) as a material inducement, within the meaning of Section 711(a) of the Rules of the American Stock Exchange, for the Executive to accept employment with the Company [pursuant to that certain Employment Agreement, dated as of [_____], between the Executive and the Company (the “Employment Agreement”).
