Reference is hereby made to the Deposit Agreement, dated as of May 14, 2001 as supplemented (the “Deposit Agreement”), by and among Satyam Computer Services Limited (the “Company”), Citibank, N.A., in it is capacity as ADR Depositary (the “Depositary”), and all Holders and Beneficial Owners of American Depositary Receipts issued thereunder.
