This SECOND AMENDED AND RESTATED MANAGEMENT AGREEMENT made as of the 15th day of August, 2011 is by and among CERES MANAGED FUTURES LLC, a Delaware limited liability company (“CMF” or the “General Partner”), EMERGING CTA PORTFOLIO L.P., a New York limited partnership (the “Partnership”) and PGR Capital LLP, a United Kingdom limited liability partnership (the “Advisor,” together with the General Partner and the Partnership, the “Parties”). This Agreement amends and restates the Amended and Restated Management Agreement dated as of November 1, 2010 (the “Existing Agreement”) by and among the Parties.
