This AMENDED AND RESTATED AGREEMENT made as of the 15th day of August, 2011 among CERES MANAGED FUTURES LLC, a Delaware limited liability company (“CMF” or the “General Partner”), DIVERSIFIED 2000 FUTURES FUND L.P., a New York limited partnership (the “Partnership”) and PGR CAPITAL LLP, a United Kingdom limited liability partnership (“PGR” or the “Advisor”). This Agreement amends and restates the Management Agreement dated as of October 29, 2010 (the “Existing Agreement”) by and among the parties.
