THIS EXCLUSIVE LICENSE AGREEMENT is entered into as of the date of the last signature on the signature page of this document (the “Effective Date”), by and among The Henry M. Jackson Foundation for the Advancement of Military Medicine, Inc., a tax-exempt corporation organized under the laws of the State of Maryland and having its principal offices at 6720-A Rockledge Drive, Suite 100 Bethesda, Maryland 20817 (the “Foundation”), The Board of Regents (“Board”) of The University of Texas System (“System”), an agency of the State of Texas, whose address is 201 West 7th Street, Austin, Texas 78701, on behalf of The University of Texas M. D. Anderson Cancer Center (“UTMDACC”), a member institution of System, and RXi Pharmaceuticals Corporation, a corporation organized under the laws of the State of Delaware and having its principal offices at 60 Prescott Street, Worcester, Massachusetts 01605 (“Licensee”).
