THIS AMENDMENT TO THE CHARLES M. HANDY EMPLOYMENT AGREEMENT (the “Amendment”) is entered into this 23rd day of September 2011, by and among Cogdell Spencer Inc., a Maryland corporation (the “REIT”), Cogdell Spencer LP, a Delaware Limited Partnership (the “Operating Partnership”) each with its principal place of business at 4401 Barclay Downs Drive, Suite 300, Charlotte, North Carolina 28209-4670, and Charles M. Handy, residing at the address set forth on the signature page hereof (the “Executive”).

This AMENDMENT NO. 1 TO CREDIT AGREEMENT, dated as of November 1, 2011 (this “Amendment”), is made by and among COGDELL SPENCER LP, a Delaware limited partnership (the “Borrower”), COGDELL SPENCER INC., a Maryland corporation (“CSI”), EACH LENDER PARTY HERETO, EACH OF THE UNDERSIGNED GUARANTORS and BANK OF AMERICA, N.A., as Administrative Agent for the Lenders (in such capacity, the “Agent”).
