THIS AGREEMENT is made as of March 1, 2012, among Longleaf Partners Funds Trust, a Massachusetts business trust (“Fund”), on behalf of its series listed on Schedule A, Southeastern Asset Management, Inc., a Tennessee corporation (“Southeastern”), and Rafferty Capital Markets, LLC, (“RCM”), a corporation organized and existing under the laws of the State of New York.
