THIS INVESTMENT ADVISORY AGREEMENT (the “Agreement”) is made this September 6, 2012, between JANUS ASPEN SERIES, a Delaware statutory trust (the “Trust”), and JANUS CAPITAL MANAGEMENT LLC, a Delaware limited liability company (“JCM”).

This waiver/reimbursement paid by JCM to the Fund or any fee reduction by JCM pursuant to this letter, for a three year period commencing with operations of the Fund, JCM shall be permitted to recoup such reimbursement or fee reduction from the Fund, provided that at no time during the term of this letter shall the expenses allocated to the Fund, with the exceptions noted above, exceed 0.75% of average daily net assets. This provision survives the term of this letter.

Please be advised that Janus Aspen Series (the “Trust”) has established Janus Aspen INTECH U.S. Low Volatility Portfolio as a new series of the Trust, effective on or about September 6, 2012. Pursuant to the existing Amended and Restated Custodian Contract between the Trust and State Street Bank and Trust Company (“State Street”), the Trust requests confirmation that State Street will act as custodian for the new series under the terms of the contract.
