This Amendment No. 3 is entered into and effective as of January 24, 2013 and amends the Fund Participation Agreement dated March 28, 2005 as amended on/effective May 1, 2007 and February 1, 2009 (the “Agreement”) by and among Pacific Life & Annuity Company (“Insurance Company” or “Company”), Pacific Life Fund Advisors LLC (the “Adviser”), Pacific Select Distributors, Inc. (“Distributor”), Pacific Select Fund (the “Trust”) American Funds Insurance Series (“Series”), American Funds Distributors (“AFD”) and Capital Research and Management Company (“CRMC”). All capitalized terms used herein and not otherwise defined shall have the meaning ascribed to such term in the Agreement.

This Administration and Support Services Agreement, originally made October 1, 1995, by and between Pacific Select Fund (the “Trust”), a Massachusetts Business Trust and Pacific Life Insurance Company, an insurance company now domiciled under the laws of the State of Nebraska, (“Pacific Life”), and amended May 1, 2007 to add Pacific Life Fund Advisors LLC, a Delaware Limited Liability Company (“PLFA”) as a party, as amended and restated thereafter, is hereby amended and restated effective December 12, 2012 (the Agreement”).

THIS AMENDMENT effective as of this 1st day of May, 2013 is made to the Portfolio Management Agreement (the “Agreement”) dated September 29, 2006, as amended on May 1, 2007, by and among BlackRock Investment Management, LLC, a Delaware limited liability company (“Portfolio Manager”), Pacific Life Fund Advisors LLC, a Delaware Limited Liability Company (“Investment Adviser”), and Pacific Select Fund, a Massachusetts Business Trust (“Fund”). The Agreement is hereby amended as set forth below (together, the “Amendment”), which is effective on May 1, 2013. Capitalized terms not defined herein shall have the meaning given to them in the Agreement.
