This MANAGEMENT AGREEMENT is made and entered into as of January 18, 2013 (this “Agreement”), by and between Ellington Housing Inc., a Maryland corporation (the “Company”) and Ellington Housing Operating Partnership LP, a Delaware limited partnership (the “Operating Partnership”), on the one hand, and Ellington REIT Management LLC, a Delaware limited liability company (the “Manager”), on the other hand.

THIS AGREEMENT OF LIMITED PARTNERSHIP OF ELLINGTON HOUSING OPERATING PARTNERSHIP LP, dated as of January 18, 2013, is made and entered into by and among Ellington Housing Inc., a Maryland corporation, as the General Partner, and the Persons whose names are set forth on Exhibit A attached hereto, as the Limited Partners, together with any other Persons who become Partners in the Partnership as provided herein.
