This SUB-ADVISORY AGREEMENT (the “Agreement”) is entered into effective as of December 21, 2012, as amended March 14, 2013, and further amended May 7, 2014 by and between JANUS CAPITAL MANAGEMENT LLC, a Delaware limited liability company (“Janus”) and JANUS CAPITAL SINGAPORE PTE. LIMITED (“Janus Singapore”).
