This Amended and Restated Investment Advisory Agreement, dated January 1, 2014 (the “Agreement”), by and between ALLIANZ GLOBAL INVESTORS FUND MANAGEMENT LLC, a Delaware limited liability company (formerly known as PIMCO Funds Advisors LLC) (the “Adviser”) and ALLIANZ FUNDS (formerly known as PIMCO Funds: Multi Manager Series), a Massachusetts business trust (the “Trust”), amends and restates the Investment Advisory Agreement dated November 15, 1994 and amended and restated as of May 5, 2000, by and between Allianz Dresdner Asset Management of America L.P., a Delaware limited partnership (formerly known as PIMCO Advisors L.P.) (“ADAM”), and the Trust (the “ADAM Agreement”).

AMENDMENT, dated June 5, 2014 and effective April 1, 2014, to the Transfer Agency and Service Agreement (the “Agreement”) entered into on October 3, 2008, as amended, by and between Allianz Global Investors Fund Management LLC (the “Administrator”), on behalf of the Allianz Funds (the “Funds”) and each Portfolio, as listed on Schedule A to the Agreement and Boston Financial Data Services, Inc. (the “Transfer Agent”). Capitalized terms used in this Amendment without definition shall have the respective meanings given to such terms in the Agreement.

(“ADAM”), and Nicholas-Applegate Capital Management LLC, a Delaware limited liability company (“NACM”).
