This Employment Agreement (the “Agreement”) is entered into by and between MultiVir Inc. (the “Company”), and Robert E. Sobol, MD (“Executive”) as of the date the Company and Executive have each executed this Agreement, as set forth below. The terms of this Agreement will become effective as of the earlier of (a) the effective date of the first registration statement that is filed by the Company and declared effective pursuant to Section 12(b) of the Securities Exchange Act of 1934, as amended, with respect to any class of the Company’s securities, or (b) the consummation of the financing of the Company in a private placement of the securities of the Company in an amount of $30 million or more (each a “Trigger Event”, and the date the first Trigger Event occurs, the “Effective Date”). If a Trigger Event is not consummated prior to June 30, 2015, this Agreement shall be null and void.
