This Amended and Restated Investors’ Rights Agreement (this “Agreement”) is made and entered into as of November 15, 2018, by and among Asana, Inc., a Delaware corporation (the “Company”), Dustin Moskovitz, Justin Rosenstein and Dustin Moskovitz Roth IRA (the “Founders”), and the purchasers of Preferred Stock of the Company listed on Schedule 1 hereto (the “Investors”).
