This Registration Rights Agreement (this “Agreement”) is made as of [ ], 2020 by and between Prelude Therapeutics Incorporated, a Delaware corporation (the “Company”), and the persons listed on the attached Schedule A who are signatories to this Agreement (collectively, the “Investors”).
