FIRST LIEN CREDIT AGREEMENT, dated as of April 30, 2019 (this “Agreement”), among CLARIOS POWER SOLUTIONS HOLDINGSINTERNATIONAL LP, a limited partnership organized under the laws of the Province of Ontario (“Holdings”), acting by its general partner BROOKFIELD PANTHER GP LLC (the “Holdings General Partner”), PANTHER BF AGGREGATOR 2CLARIOS GLOBAL LP, a limited partnership organized under the laws of the Province of Ontario (the “Aggregator Borrower”), acting by its general partner PANTHER BF AGGREGATOR 2CLARIOS GLOBAL GP LLC (the “Borrower General Partner”), PANTHER FINANCE COMPANY, INCCLARIOS US FINANCE COMPANY, INC., a corporation organized under the laws of the State of Delaware (the “Co-Borrower”), the LENDERS and ISSUING BANKS from time to time party hereto and JPMORGAN CHASE BANK, N.A., as Swingline Lender, Administrative Agent and Collateral Agent.
