This Indemnification Agreement (“Agreement”) is entered into as of October 28, 2020, by and among (i) LianBio, an exempted company organized under the laws of the Cayman Islands (the “Company”), (ii) Konstantin Poukalov (the “Director”), and (iii) Perceptive Life Sciences Master Fund, Ltd., Perceptive Xontogeny Venture Fund, LP, and LEV LB Holdings, LP (collectively, the “Fund”, and together with each of the Fund’s limited partners and general partners, the “Fund Indemnitees”). The Director and the Fund Indemnitees shall be referred to herein individually as the “Indemnitee” and collectively as the “Indemnitees”.
