This Agreement and Plan of Merger (the “Agreement”) is made as of September 14, 2006, by and among Fidelity Financial Corporation of Michigan, a Delaware corporation, whose principal office is located at 1040 E. Maple Road, Birmingham, Michigan 48009 (“Fidelity”) and Dearborn Bancorp, Inc., a Michigan corporation, whose principal office is located at 1360 Porter Street, Dearborn, Michigan 48124 (“Dearborn”).
