Registration Rights Agreement (the “Agreement”), dated as of September 15, 2006, by and between Save the World Air, Inc., a corporation organized under the laws of the state of Nevada, with its principal executive office at 5125 Lankershim Blvd., North Hollywood, CA 91601 (the “Company”), and Dutchess Private Equities Fund, L.P., a Delaware limited partnership with its principal office at 50 Commonwealth Avenue, Suite 2, Boston, MA 02116 (the “Holder”).
