The Securities Purchase Agreement referenced in Exhibit 10.1 and the Registration Rights Agreement referenced in Exhibit 10.2 were executed by Capital Research and Management Company on behalf of SMALLCAP World Fund, Inc. and American Funds Insurance Series, Global Small Capitalization Fund. The shares are to be issued in the names of the nominees set forth below.

This Registration Rights Agreement (the “Agreement”) is made as of the date set forth below between Arcadia Resources, Inc., a Nevada corporation (the “Company”), and Capital Research and Management Company (the “Investor”), in conjunction with a Securities Purchase Agreement dated as of the date hereof. Capitalized terms used and not defined herein shall have the respective meanings ascribed to them in the Securities Purchase Agreement.
