International Lease Finance Corporation, a California corporation (the “Company”), confirms its agreement with each of you (together with your affiliates, individually, an “Agent” and collectively, the “Agents”) with respect to the issue and sale by the Company of up to the aggregate principal amount set forth in Schedule I hereto of its Medium-Term Notes, Series Q, Due Nine Months or More from Date of Issue (the “Notes”).
