This SECURITY AGREEMENT dated as of May 12, 2005 (this “Agreement”), is among GRANT PRIDECO, INC., a Delaware corporation (the “Parent”), the undersigned subsidiaries of the Parent (the Parent and such undersigned subsidiaries collectively being the “Debtors”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, in its capacity as administrative agent (in such capacity, the “Administrative Agent”) for the benefit of the holders of the Secured Obligations (as defined below).

This CREDIT AGREEMENT (“Agreement”) is entered into as of May 12, 2005, among GRANT PRIDECO, INC., a Delaware corporation (the “Company”), certain Subsidiaries of the Company party hereto pursuant to Section 2.14 (each, including each Designated UK Borrower (as hereinafter defined), a “Designated Borrower” and, together with the Company, the “Borrowers” and, each a “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), BANK OF AMERICA, N.A., as Syndication Agent, WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent, US Swing Line Lender and an L/C Issuer, HSBC BANK PLC, as UK Swing Line Lender and an L/C Issuer, and DEUTSCHE BANK SECURITIES INC., as Documentation Agent.
