This FIRST AMENDED AND RESTATED CREDIT AGREEMENT (“Agreement”) is entered into as of September 30, 2005, among each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), WACHOVIA BANK, NATIONAL ASSOCIATION, as Syndication Agent, JPMORGAN CHASE BANK, N.A. and HARRIS N.A., as Co-Documentation Agents, BANK OF AMERICA, N.A., as administrative agent for the Lenders (in such capacity, the “Administrative Agent”), and EGL, INC., a Texas corporation (the “Borrower”).
