This Second Amended and Restated Credit Agreement, dated as of November 18, 2005, is among PETROQUEST ENERGY, L.L.C., a Louisiana limited liability company; JPMORGAN CHASE BANK, N.A., a national banking association, individually and as agent (in its agent capacity herein “Agent”) and as issuer of Letters of Credit (in such capacity the “LC Issuer”); CALYON NEW YORK BRANCH, as Syndication Agent; and J.P.
