THIRD SUPPLEMENTAL INDENTURE, dated as of December 31, 2005 (this “Supplemental Indenture”), among EL PASO CGP COMPANY, L.L.C., a Delaware limited liability company (formerly known as El Paso CGP Company, a Delaware corporation) (the “Original Company”), EL PASO CORPORATION, a Delaware corporation (the “New Company”), and THE BANK OF NEW YORK TRUST COMPANY, N.A., a national banking association (as successor-in-interest to The Bank of New York, a New York banking corporation, and Bank of Montreal Trust Company, a New York trust company), as trustee under the Indenture referred to below (in such capacity, the “Trustee”).
