Soderberg (the “Executive”) to be effective and binding between the parties hereto if and only if Executive is elected by the Board of Directors of the Company to be the President a Chief Executive Officer of the Company, provided, however, that, Executive shall not be entitled to receive any of the benefits or rights under this Agreement if a Change in Control (as defined herein) occurs prior to the Start Date (as defined in the Employment Agreement dated of even date herewith between the Company and Executive).
