THIS CONSULTING AGREEMENT (the “Agreement”) is entered on this 12th day of April, 2006, (the “Effective Date”), by and between Robert L. Parker (“Parker”), an individual, who resides in Tulsa, Oklahoma, and Parker Drilling Company, a Delaware corporation (the “Company”).

THIS AGREEMENT (the “Agreement”) dated this 12th day of April, 2006 (the “Effective Date”) by and among PARKER DRILLING COMPANY (the “Company”), ROBERT L. PARKER (the “Employee”) and ROBERT L. PARKER, SR. AND CATHERINE M. PARKER FAMILY TRUST UNDER INDENTURE DATED THE 23RD DAY OF JULY, 1993 (the “Trust”).
