This EMPLOYMENT AGREEMENT (the “Agreement”) is made and entered into on this 11th day of May 2006, but as effective as of the date set forth herein, by and between Wheelabrator Technologies, Inc. and Mark A. Weidman (the “Executive”). The Company is an indirect subsidiary of Waste Management, Inc. (“WMI”). Wheelabrator Technologies, Inc. and all of its subsidiaries collectively shall be referred to herein as “the Company.”
