This Sales Contract (“Contract”) is entered into by and between SHELL CHEMICAL LP, with a place of business at One Shell Plaza, P.O. Box 2463, Houston, Texas, 77252-2463, Facsimile no. (713) 241-6465 (“Seller”), and KRATON Polymers U.S. LLC with a place of business at 15710 John F. Kennedy Boulevard, Suite 300, Houston, Texas 77032, Facsimile no. 281-504-4769 (“Buyer”). For the purposes of this Contract, “Party” shall mean either Seller or Buyer individually and “Parties” shall mean Seller and Buyer collectively. Further, the term “Affiliate” shall mean a company which directly, or indirectly through one or more intermediaries, controls, or is controlled by, or is under common control with a Party. For this purpose control means the direct or indirect ownership of in aggregate fifty per cent or more of voting capital.
