This Amended and Restated Employment Agreement (this “Agreement”) by and between Bristow Group Inc., a Delaware corporation f/k/a Offshore Logistics, Inc. (the “Company”) and Mark B. Duncan, an individual (the “Executive”), is entered into this 6th day of June, 2006, but effective as of the 24th day of January, 2005 (“Effective Date”). Except as otherwise provided herein, capitalized terms used herein shall have the meaning specified in Section 10.
