This Stock Purchase Agreement (this “Agreement”) is made and entered into as of February 10, 1998 by and among those persons whose names are set forth in Schedule 3.1(b) hereof (collectively, the “Sellers” and individually, a “Seller”), Sea Mar, Inc., a Louisiana corporation (the “Company”), Pool Energy Services Co., a Texas corporation (“Pool”) and Pool Company, a Texas corporation (“Buyer”).
