THIS ASSET PURCHASE AGREEMENT (this “Agreement”) by and between THE SHELL PETROLEUM DEVELOPMENT COMPANY OF NIGERIA LIMITED, a Nigerian limited liability company (“Buyer”), and PARKER DRILLING OFFSHORE INTERNATIONAL, INC., a corporation formed under the laws of the Cayman Islands, British West Indies (“Seller”), is made this 8th day of June, 2006. Buyer and Seller may be referred to herein individually as a “Party,” and collectively as the “Parties.” Except as otherwise provided herein, capitalized terms used herein shall have that meaning specified in Article 1.
