THIS AMENDED AND RESTATED CREDIT AGREEMENT dated as of August 30, 2006 is among CALLON PETROLEUM COMPANY, a corporation formed under the laws of the State of Delaware (the “Borrower”); each of the lenders that is a signatory hereto or which becomes a signatory hereto as provided in Section 12.06 (individually, together with its successors and assigns, a “Lender” and, collectively, the “Lenders”); GUARANTY BANK, as Syndication Agent, NATEXIS BANQUES POPULAIRES, as Documentation Agent, and UNION BANK OF CALIFORNIA, N.A., (in its individual capacity, “UBOC”), as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Administrative Agent”) and as documentation agent.
