This REGISTRATION RIGHTS AGREEMENT dated October 3, 2006 (the “Agreement”) is entered into by and among Service Corporation International, a Texas corporation (the “Company”), and J.P. Morgan Securities Inc. (“JPMorgan”), Merrill Lynch, Pierce, Fenner & Smith Incorporated, Banc of America Securities LLC, Lehman Brothers Inc., Raymond James & Associates, Inc. and Morgan Keegan & Company, Inc.
