This Purchase and Sale Agreement (this “Agreement”) dated as of the 24th day of November, 2006 (the “Execution Date”), is by and between THE ANDREW W. MELLON FOUNDATION, a New York non-profit corporation (herein called “Seller”), having an address of 140 East 62nd Street, New York, New York 10021, and NRP (OPERATING) LLC, a Delaware limited liability company, having an address of Suite 300, 1035 Third Avenue, Huntington, West Virginia 25727 (herein called “Buyer”).
