THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) dated March 8, 2007, is between BP EXPLORATION & PRODUCTION INC., a Delaware corporation, with an office at 501 WestLake Park Boulevard, Houston, Texas 77079 (“Seller”) and CALLON PETROLEUM OPERATING COMPANY, a Delaware corporation, with an office at 1200 Enclave Parkway, Suite 225, Houston, Texas 77077 (“Buyer”) (individually, a “Party” and collectively, the “Parties”.)
