THIS VOTING AGREEMENT (this “Agreement”) is made effective as of March 28, 2007 by and among each of the holders of the common stock, par value $.01 per share, of American Bank Note Holographics, Inc., a Delaware corporation (the “Company”) (individually, a “Stockholder” and collectively, the “Stockholders” or the “Stockholder Group”) set forth on Exhibit A attached hereto, which exhibit may be amended from time to time.
