THIS LOAN AGREEMENT is made and entered into as of April 4, 2007, by and among HCC INSURANCE HOLDINGS, INC., a Delaware corporation (together with its permitted successors, herein called the “Borrower”); each of the lenders which is or may from time to time become a party hereto (individually, a “Lender” and, collectively, the “Lenders”), WELLS FARGO BANK, NATIONAL ASSOCIATION (“Wells Fargo”), a national banking association, as Administrative Agent for the Lenders and Co-Lead Arranger (in such capacity, together with its successors in such capacity, the “Agent”), CITIBANK, N.A., as Co-Lead Arranger and Syndication Agent, and WACHOVIA BANK, NATIONAL ASSOCIATION, as Documentation Agent.
