This Agreement for Purchase and Sale (this “Agreement”) is made and entered into this 13th day of May, 2007, by and between Stone Energy Corporation, a Delaware corporation (“Seller”), and Newfield Exploration Company, a Delaware corporation (“Buyer”). Buyer and Seller are sometimes collectively referred to herein as the “Parties” and individually as a “Party.”
