This agreement (including any annex, exhibit or schedule to this agreement, the “Agreement”) is dated as of October 19, 2007 (the “Effective Date”), and is made by and among ConocoPhillips Company, a Delaware corporation (“ConocoPhillips”), and M.E. Zukerman Specialty Oil Corporation, a Delaware corporation (“Zukerman” and, together with ConocoPhillips, “Sellers” and each a “Seller”), and Calumet Specialty Products Partners, L.P., a Delaware limited partnership (“Purchaser”). Purchaser and each Seller are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
