THIS THIRD AMENDED AND RESTATED RIGHTS AGREEMENT (this “Agreement”), dated as of August 23, 2007, is between Harvest Natural Resources, Inc. (formerly named “Benton Oil and Gas Company”), a Delaware corporation (the “Company”), and Wells Fargo Bank, N. A. (formerly named “First Interstate Bank of California”), a California corporation (the “Rights Agent”).
